A&O Shearman advises Orange and APG on the acquisition of Nexera
A&O Shearman has advised Orange Polska and APG Asset Management N.V. on the acquisition of 100% of the shares in Nexera Holding sp. z o.o. from Infracapital (Sense) Limited. Nexera operates one of Poland’s largest open-access fibre-to-the-home (FTTH) networks, providing wholesale connectivity to internet service providers and supporting EU-funded broadband roll-out.

The transaction implies an enterprise value of PLN1.5 billion. Completion is subject to customary regulatory approvals.

This acquisition marks a significant milestone for Poland’s fibre infrastructure market, strengthening Orange and APG’s ability to expand high-speed broadband nationwide, reflecting increased investor appetite for digital infrastructure, and supporting EU goals to accelerate fibre rollout. The transaction will expand the footprint of Światłowód Inwestycje by approximately 800,000 households and deliver operational synergies, increasing the company’s planned coverage to nearly 3.7 million households by 2028.

The A&O Shearman team was led by partner Jarosław Iwanicki, together with senior associates Maciej Szykut and Joanna Kaleta.
