A&O Shearman advises OpenPayd on its USD1.145 billion merger with Titan

A&O Shearman represented OpenPayd Holdings Limited (“OpenPayd”) on its definitive business combination agreement to combine with Titan Acquisition Corp (“Titan”) (Nasdaq: TACHU) for a total equity valuation of USD1.145bn.

Upon completion of the transaction, OpenPayd will become a publicly listed company on Nasdaq under the ticker symbol “OP.” The transaction is expected to close in the fourth quarter of 2026, subject to customary closing conditions and regulations.

OpenPayd is a London-headquartered financial infrastructure platform operating at the intersection of traditional finance and digital assets, enabling businesses to move and manage money across fiat rails, blockchain networks, and stablecoins through a single API.

Titan is a New York-headquartered special purpose acquisition company focused on high-growth fintech companies and financial technology businesses.

The transaction highlights A&O Shearman's ability to deliver seamless cross-border counsel on complex SPAC transactions, bringing together a multi-jurisdiction team across the U.S., U.K., and France.
