Helena specialises in employee equity incentives and executive remuneration.
She acts for and advises global companies (both publicly listed and private) on all aspects of employee equity incentives, including design, the tax and cost implications, global mobility issues, shareholder communication, corporate governance and best practice. Helena also advises on corporate transactions including share plan issues arising from IPOs, minority investments, mergers and acquisitions.

Representative matters

  • Advice on incentives aspects of the acquisition of 100% of TSB Banking Group from Banco Sabadell, with a valuation of GBP 2.65 billion.
  • Runna, the world’s #1 rated personalised running coaching app, on the incentives aspects of its 100% acquisition by Strava, the U.S.-based social network for activity and fitness tracking.
  • Virgin Media O2 on the incentives aspects of the merger of the Virgin Media O2 Business division with Daisy Group to create a major new force in the UK business communications and IT sector.
  • Brookfield on the incentives aspects of its long-term strategic partnership with Barclays Bank plc to transform the Bank's payment acceptance business.
  • Advice to Marlowe Plc on the incentives aspects of its recommended £366 million cash and shares takeover offer from Mitie Group plc.

  • Advising a CIC on the operation of an employee benefit trust for the benefit of its employees.
