A&O Shearman represented the initial purchasers in connection with a Rule 144A offering by Wabash National Corporation of USD150 million aggregate principal amount of 4.00% Convertible Senior Notes due 2032.

Morgan Stanley & Co. LLC, Wells Fargo Securities, LLC, and J.P. Morgan Securities LLC acted as joint book-running managers.

Wabash (NYSE: WNC) combines physical and digital technologies to deliver innovative, end-to-end solutions that optimize supply chains across transportation, logistics, and infrastructure markets.
