Michael advises clients across a wide range of capital markets transactions, including U.S. initial public offerings, direct listings, follow-on offerings, secondary offerings, at-the-market offerings, equity-linked offerings, private placements and other public and private equity and debt transactions.
Michael also advises on U.S. securities regulation, reporting and related matters.

Prior to joining A&O Shearman, Michael was a Managing Director and Head of the Americas Capital Markets Legal group at Morgan Stanley, where he led the team of institutional capital markets lawyers in New York. At Morgan Stanley, Michael advised the firm on a number of the most innovative and consequential equity capital markets transactions of the time, including the IPOs of Airbnb, Alibaba, Facebook, General Motors and Uber, as well as the direct listing of Spotify.

  • The sales agent in connection with the up to USD22.5MM at-the-market offering program of common stock of Allbirds, Inc.
  • Morgan Stanley and J.P. Morgan as in connection with MakeMyTrip Limited’s approximately USD3bn concurrent Rule 144A offering of zero coupon convertible senior notes due 2030 and U.S. SEC-registered primary follow-on offering of 18,400,000 ordinary shares.
  • Morgan Stanley and J.P. Morgan in connection with Grab Holdings Limited’s offering of USD1.5bn zero coupon convertible senior notes due 2030.
