Lorenz is a transactional tax generalist whose practice focuses on the taxation of financial institutions and instruments, private credit and direct lending, debt restructuring, domestic and cross-border mergers and acquisitions, joint ventures and minority investments as well as financings, securitizations, synthetic risk transfers (SRTs), complex derivatives and capital markets transactions.

He regularly advises major financial institutions, sovereign investors, hedge funds, private equity funds, family offices and domestic and multinational companies and is ranked in Chambers USA and in Legal 500 USA.

He also supports the firm’s Latin America practice, representing sovereigns, companies, underwriters and dealer managers in complex liability management, debt restructuring, capital markets and derivative transactions, and was ranked by Latin Lawyer in July 2025 as among the “most active international partners” in Latin America across all practice areas.

He is a member of the Executive Committee of the New York State Bar Association Tax Section, Former Chair of the Financial Institutions and Products Committee of the American Bar Association and a member of Tax Forum.

He regularly speaks on and moderates panels for industry organizations including the New York State Bar Association, the American Bar Association, the Wall Street Tax Association, the Institute of International Bankers and the International Tax Institute. He also has authored articles and bar reports on a range of tax topics, which have been cited in Congressional Committee reports as well as seminal tax treatises including Bittker & Lokken: Federal Taxation of Income, Estates and Gifts, Hennessey, Yates, Banks & Pellervo: The Consolidated Tax Return and Conlon & Aquilino, Principles of Financial Derivatives.

From 2012 to 2013, he served as a judicial clerk to the Honorable Patrick Higginbotham on the U.S. Court of Appeals for the Fifth Circuit.

  • GE HealthCare Technologies in its collaboration with Gentuity LLC, a Massachusetts-based medical technology company specializing in next generation intravascular imaging devices.
  • Intercontinental Exchange, Inc. in connection with its USD13.1b merger with Black Knight, Inc. and in various other acquisitions and dispositions. 
  • Mubadala in its acquisition of a majority interest in Fortress Investment Group.
  • Despegar.com Corp. in its USD1.7b sale to Prosus N.V.
  • JetBlue Airways Corp. in its terminated acquisition of Spirit Airlines for approximately USD3.8b.
  • A biomedical and biotechnology company in its USD1.75b acquisition of Baylis Medical Company Inc.
  • U.S. private equity firm in connection with various stock and asset acquisitions, dispositions and tax-free reorganizations.

Liability management and debt restructuring
  • Various non-U.S. banks in billions of dollars of U.S. commercial mortgage loan restructurings.
  • Six international banks in connection with innovative USD9b principal tender offer in respect of Republic of Colombia bonds and total return swap transaction with the Republic of Colombia.
  • Five international banks in negotiating USD 2b repurchase transactions with Banco Central de la República Argentina (BCRA). These transactions were crucial in bolstering the U.S. dollar reserves of BCRA at a critical time in Argentina’s history, increasing BCRA’s capacity to confront external shocks and minimizing potential disruption in the local market.
  • Brazilian airline Azul S.A. in connection with a comprehensive USD2.25b debt restructuring.
  • Sovereign and private bond issuers, underwriters and dealer-managers in various complex debt restructurings and liability management transactions.

Funds, co-investments and JVs
  • Mubadala in the expansion of its global partnership with Apollo to support the Apollo Capital Solutions business and in various other credit platforms, JVs, co-investments, fund investments and transactions.
  • Various sovereign wealth funds and offshore investors in their global investments, including private equity, credit, infrastructure, energy and real estate funds.

Tax advisory
  • Various major U.S. and non-U.S. banks, broker-dealers, financial exchanges and fintech companies in connection with financial products and services and digital assets.
  • Various major U.S. hedge funds and U.S. and non-U.S. family offices in connection with inbound equity, derivative and credit investments, digital assets and general tax planning.
  • Financial institutions in connection with IRS letter ruling requests.
