Jake focuses on the impact of environmental and climate change laws and regulations on commercial transactions. He has advised companies and financial institutions as lead environmental counsel in the context of mergers, acquisitions, divestitures, financings, real estate transactions, bankruptcy proceedings, regulatory compliance matters and governmental cleanup programs.
Jake advises clients in the context of ESG disclosures, both pursuant to voluntary and mandatory regimes, including in the context of sustainability, climate change and conflict minerals. In addition, Jake advises high net worth individuals in the context of land preservation and conservation easements.

Dover Corporation in its acquisition of the business of FW Murphy Production Controls for $530 million in cash.

Chesapeake Utilities Corporation in a definitive agreement to acquire Florida City Gas from NextEra Energy, Inc. for $923 million in cash.

Paramount Global on the sale of Simon & Schuster to KKR for $1.62 billion in cash.

J.F. Lehman on its proposed acquisition of Heritage-Crystal Clean Inc for approximately $1.2 billion in cash.

Valvoline on corporate finance matters in connection with the sale of its Global Products business to Aramco for $2.65 billion in cash.

SPX Technologies in its divestiture of three subsidiaries that held asbestos liabilities and certain assets, including related insurance assets, to an entity formed by a joint venture of Global Risk Capital and Premia Holdings.

The Dow Chemical Company in connection with the sale of its ownership interest in MEGlobal to EQUATE Petrochemical Company K.S.C. for $1.5 billion in pre-tax proceeds.

Cardinal Midstream Partners in its acquisition of Medallion Midstream Service’s natural gas gathering and processing business located in the Delaware Basin in West Texas.
