A&O Shearman advises on Brightstar Lottery PLC’s EUR500 million bond and tender offer
A&O Shearman advised the initial purchasers and the dealer managers on Brightstar Lottery PLC’s (“Brightstar”) EUR500 million senior secured bond issuance, carrying a 4.875% coupon and maturing in 2032, as well as a concurrent tender offer to certain holders of Brightstar’s EUR500m senior secured notes maturing in 2028.

Brightstar, the world’s largest lottery operator, used the net proceeds from the issuance to fund the consideration for the tender offer and to repay utilizations under its senior revolving credit facilities.

A&O Shearman advised the initial purchasers and the dealer managers on U.S. capital markets aspects through a multi-jurisdictional team led by partner Trevor Ingram, supported by senior associate Evangelia Andronikou and associate Silvia Montanya.

“We are delighted to have advised the initial purchasers and the dealer managers on this important transaction for Brightstar. This was a sophisticated, multi-faceted transaction requiring seamless coordination across multiple jurisdictions, and it is a testament to the strength and depth of our cross-border capital markets platform that we were able to deliver an integrated solution for our clients.”

The multi-jurisdiction team also comprised partner Robert Burt and associates Bonnie Kwok and Sama Aunallah (London), partner Michael Chernick and associate Sykes Mitchell (New York), partners Alessandra Pala, Diego Esposito, and Pietro Scarfone, assisted by senior associate Edoardo Brugnoli, associates Federica Subba and Alessia Cellucci, and trainee Benedetta Girotti (Italy), and partner Jonathan Heeringa, senior associate Sophia Evenhuis, and associate Evy Tuijn (Netherlands).
