A&O Shearman advises Fagron on dual financing, bolstering North America growth plans
A&O Shearman has represented Fagron, the leading global pharmaceutical compounding company listed on Euronext Brussels and Euronext Amsterdam, on completing an up to USD225 million private placement (USPP) of notes in November.

Combined with its EUR575m syndicated term and revolving credit facilities in February, on which A&O Shearman represented Fagron too, these financing packages diversify Fagron’s funding sources and enhance flexibility to pursue its investments in North America.

“We are proud to have supported our long-standing client Fagron on the refinancing of its existing syndicated facilities and U.S. private placement of notes, ensuring long-term access to financing for Fagron and underscoring its M&A activity,” partner Hans Kets stated.

“This collaboration is a true testament to the firm’s commitment to advise clients on the full spectrum of corporate finance products and our integrated collaboration"

Syndicated facilities (February 2025): led by partner Hans Kets (Corporate/M&A, Antwerp) and counsel Julie Vander Donckt (Debt Finance, Brussels), supported by senior associate Dylan De Backer (Debt Finance, Brussels) and junior associate Polina Vorobyova (Debt Finance, Brussels).

A&O Shearman local law advice was provided by Niels de Ru and Daan Groenewoud (Amsterdam), Tomasz Kawczynski, Szalak Maciej and Michal Rudzki (Warsaw) and Gordon Mak, Caroline Ling and Joshua Tyron (New York).
