A&O Shearman has advised Apax Funds advised by Apax Partners LLP on their entry into exclusive negotiations with BPCE Assurances for the sale of GamaLife, an established life insurance platform in Portugal and Italy.

The transaction is expected to close in H1 2027. Completion is subject to consultation with the relevant employee representative bodies and to the required regulatory approvals, including merger control clearance and approval from the competent Portuguese insurance supervisory authority. 

The A&O Shearman deal team was led by global co-head of capital solutions and private equity partner Paul Dunbar, senior associate Adarsh Chhabria, and associates Angela Chan and Piers Edinborough. The team was supported by associate Ine Deblaere and trainee Czara Awad. 

Tax advice was provided by partner Tim Harrop and associate Maria Clezy. Partner David Weaver and associate Isabella Harris advised on regulatory matters.
