A&O Shearman advises Wyyerd on Oak Hill Capital’s acquisition of a majority stake from Carlyle
A&O Shearman has advised Wyyerd Group Holdings, LLC (Wyyerd) on Oak Hill Capital’s (Oak Hill) definitive agreement to acquire a majority stake in Wyyerd from global investment firm Carlyle (NASDAQ: CG).

Wyyerd is a fiber-to-the-premises (FTTP) broadband provider that serves residential and business customers in Arizona and Southern California. Carlyle has held a majority stake in the company since 2021 and will keep a minority stake in Wyyerd as part of the transaction. Oak Hill is a thematic, middle-market private equity firm that invests and scales FTTP businesses and will support Wyyerd’s continued network expansion within and beyond its existing footprint.

The transaction is expected to close in January 2027, subject to customary regulatory approvals and closing conditions.

We are delighted to have advised Wyyerd on this important milestone. The fiber broadband sector continues to attract significant investor interest as demand for high-speed connectivity grows. It also shows our team’s continued strength in advising clients on complex transactions across the digital infrastructure and telecommunications space.

The A&O Shearman team was led by partner Jesse Debban and associate John Kurtz, with support from associates Elizabeth Robishaw, Caleb Crowe, and Kaitlin Schleich.

The team also included partners Kent Rowey, Dorina Yessios, Michael Steinberg, Jonathan Cheng, David Weaver, Ryan Bray, Melisa Brower, Alex Touma, Adam Sofen, and Jason Pratt, counsel Elaine Johnston and Austin Jones, and associates Harry Rouse, Zachary Kaplan, Stephen Ponticello, Eva Wang, Desiree Barbosa, Olivia Kreft, and Musa Ya-Sin.
