A&O Shearman advises CD PROJEKT on divestment of GOG

We advised CD PROJEKT, one of Poland’s most internationally acclaimed video game developers and the studio behind iconic titles such as The Witcher and Cyberpunk, on the sale of GOG—a leading DRM-free games digital distribution platform. This transaction stands out as one of the most prominent deals in the global video games distribution market, marking a major milestone in CD PROJEKT’s strategic evolution.

The A&O Shearman team was led by counsel Piotr Szczeciński and supervised by partner Magdalena Nasiłowska. The team comprised: partner Marta Sendrowicz; counsel Paweł Bartosiewicz, Justyna Ostrowska, and Kamil Jabłoński; senior associates Paweł Mruk-Zawirski, Aleksander Braksator, and Ewa Tkaczuk; as well as associates Jakub Żebrowski and Karina Wiśniewska.

Magdalena Nasiłowska commented: “We were proud to support CD PROJEKT in this transaction, a company that stands out for its unique approach in everything it does, including the development of a successful digital distribution platform for video games. CD PROJEKT has consistently demonstrated that genuine innovation is driven by a clear, distinctive vision and by the people who bring that vision to life with passion and dedication. We are grateful to CD PROJEKT for their trust and for the opportunity to contribute to the next chapter of this exciting journey.”

Piotr Szczeciński added: "Helping market leaders like CD PROJEKT to navigate transformative technology deals is what we do best. This deal reflects the rapid evolution of the gaming industry and the need for strategic portfolio choices. With few Polish companies enjoying such global reach and recognition, we were delighted to be trusted by the CD PROJEKT team to advise on such a landmark transaction in the gaming industry."
