A&O Shearman advises Banks on DomusVi’s EUR2 billion refinancing
A&O Shearman has advised the banking syndicate, led by BNP Paribas, Crédit Agricole Corporate and Investment Bank, and Goldman Sachs Bank Europe SE, in connection with the EUR2.0bn refinancing by HomeVi S.A.S., the holding company of the DomusVi Group. 

The transaction comprised a EUR1.5m new senior secured term loan B facility and a concurrent EUR500m 6.625% senior secured bond issuance due 2031. As part of the refinancing, HomeVi also extended the maturity of its existing revolving credit facilities to 2031, aligning them with the new bonds, while increasing total commitments from EUR181m to EUR289m. 

This transaction marks a significant milestone in HomeVi's financing strategy, enhancing the diversification of its funding base while proactively extending its debt maturity profile.  

HomeVi, an ICG portfolio company co-owned by Sagesse Retraite Santé, is a European pure-play operator providing housing, care and home-based services to support individuals throughout the aging process, regardless of their living arrangements or evolving health conditions. The group operates a large network of facilities with total capacity exceeding 51,000 beds, serving approximately 47,000 residents and clients across seven countries, with a core presence in France, Spain and Germany. 

The dual-tranche structure of the refinancing underscores the seamless collaboration between A&O Shearman’s banking and high yield practices, demonstrating the firm's ability to deliver fully integrated counsel across the capital structure.
