David advises issuers, underwriters, and hybrid capital investors on international capital markets and cross-border financing transactions, with a particular emphasis on high-yield bond offerings and acquisition financings.
David also has experience in debt liability management, financial and sovereign debt restructurings, initial public offerings, and U.S. securities law matters.

Experience

Representative matters

  • Advised the finance parties in connection with Mehiläinen’s (majority owned by CVC and Hellman & Friedman) offering of €350 million aggregate principal amount of senior secured floating rate notes due 2032 with a coupon of three-month EURIBOR (subject to a zero floor), plus 3.375% and €740 million aggregate principal amount of its 5.125% senior secured fixed rate notes due 2032, repricing of its existing €1.86 billion term facilities and upsizing of its existing revolving credit facility by €150 million.
  • Advised the banks on Essendi’s (AccorInvest Group S.A.) full refinancing, comprising an offering of three tranches of new senior secured notes alongside a €550 million senior term loan and €400 million revolving credit facility under a new senior facilities agreement.
  • The initial purchasers in connection with the offering by Domestic & General, a CVC portfolio company, of £350 million senior secured notes due and new senior credit facilities comprising (i) a euro-denominated senior secured term loan facility with aggregate principal amount of €545 million and (ii) a multi currency senior secured revolving credit facility in an aggregate principal amount of £165 million.
  • A group of global financial institutions, as joint global coordinators and joint physical bookrunners, the financial institutions, as joint global coordinators and BBVA, Belfius, BRED Banque Populaire, CaixaBank, CIC Market Solutions and La Banque Postale, as joint bookrunners, in connection with the issuance of €300 million 4.7500% senior notes due 2032 by Fnac Darty S.A.
  • Advised a group of global financial institutions, as joint global coordinators and joint bookrunners, and the financial institutions, as joint bookrunners in connection with Bertrand Franchise Finance’s offering of €850.0 million floating rate senior secured notes due 2030 and €300.0 million 6.50% senior secured notes due 2030.
