Allen & Overy advises Bilfinger on expansion in the Netherlands and Belgium

Allen & Overy has advised industrial services provider Bilfinger on acquiring parts of the Stork group, a subsidiary of Fluor Corporation (USA). The transaction includes mainly the operating units in the Netherlands and Belgium as well as a few entities in Germany and in the US, with a total of more than 2,700 permanent employees and revenue of about EUR 500 million.

Closing is expected to take place in the first half of 2024 and is subject to competition authority approval and consultation of the relevant works councils. Bilfinger will employ more than 4,600 people in Belgium and the Netherlands once the transaction is completed.

The aim of the transaction is to provide Bilfinger's industrial customers with a full range of services also in the Netherlands and in Belgium, while simultaneously strengthening the Group's position in competition for skilled labour.

The Allen & Overy team was led by partner Katinka Middelkoop (Corporate/M&A, Amsterdam) and further comprised partners Dr Astrid Krüger (Corporate/M&A, Munich), Dr Ellen Braun (Antitrust, Hamburg), Hanneke Bennaars (Employment) and Rens Bondrager (Tax). Transaction advice was also provided by senior associates Sophie Kremer (Employment, all Amsterdam), Heiner Mecklenburg (Antitrust) and Dr Julia Molesetina (Antitrust/FSR, both Hamburg) as well as by associates Anne-Sophie van Gruijthuijsen, Bas Sanders, Chaimae Ziani (all Corporate/M&A), Fyrone Denny (Tax, all Amsterdam), Cornelia Tu (Corporate/M&A, Munich) and Dr Katharina Hillmer (Antitrust, Hamburg).

The in-house legal team consisted of Dr Hendrik Ley (Head of Legal M&A), Swen Kellermeier (Head of Corporate & Finance Legal) and Miriam Kammer (In-house Lawyer) and also included Dr Bernd Niedernberg (Head of Corporate Strategy and M&A), Dr Valerian Brandt (Director M&A and PMI), Anna Winterhoff (Project Manager Strategy and M&A) and Holger Gangnus (Senior Manager International Tax/M&A).
