A&O Shearman advises on EUR4.8 billion project finance and infrastructure Pan-European significant risk transfer transactions

A&O Shearman has advised on two on-balance sheet significant risk transfer (SRT) securitizations referencing portfolios of project finance and infrastructure loans with an overall notional amount of approx. EUR4.8bn.

The underlying exposures relate to projects and infrastructures located in several European countries, including Italy, Luxembourg, Germany, and Spain. Golub Capital provided credit protection by underwriting a portion of the junior tranches.

The A&O Shearman team was led by partners Pietro Bellone and Parya Badie, and comprised senior associates Giovanni Chiarli, Eric Denton, Robert Simmons, Martina Gullino, and Chiara D’Andolfo. Partner James Bryson provided assistance on U.S. aspects. Counsel Elia Ferdinando Clarizia handled tax matters.

“We are excited to have advised on these prominent transactions. Private credit’s SRT strategy on project finance and infrastructure loans is critical to the further development of the Italian and wider European SRT market at a time when these asset classes are becoming core for capital relief”.
