A&O Shearman advises Copenhagen Infrastructure Partners on acquisition of Ørsted's European onshore business
A&O Shearman has advised Copenhagen Infrastructure Partners (CIP) who has just signed an agreement to acquire, through its fifth flagship fund CI V, Ørsted's European onshore renewable energy business.

The transaction encompasses over 800 MW of operational and under-construction assets, together with a multi-gigawatt development pipeline spanning Ireland, the UK, Germany and Spain. CI V reached final close in March 2025, exceeding its target with total potential commitments of approximately USD27 billion.

The business comprises onshore wind, solar and battery energy storage system (BESS) projects, with closing expected in Q2 2026, subject to regulatory approvals. A&O Shearman advised on all aspects of the transaction, including M&A and due diligence with a cross-border team in the UK, Germany and Spain led by partners Mitchell Olufawo, David Lee, Richard Evans, Vanessa Cuellas and Max Landshut.

“This platform will strengthen CIP’s impressive portfolio of existing projects”

Mitchell Olufawo, lead partner on the transaction, commented: “We were delighted to have been trusted by the CIP Flagship fund team on its largest business acquisition to date. We all know how important the continued momentum in Europe's renewable energy sector is and are proud to be able to support CIP's commitment to invest to accelerate the energy transition. This platform will strengthen CIP’s impressive portfolio of existing projects and, as it grows in scale and potential, they will continue to contribute towards Europe’s clean power leadership and energy independence.”

The A&O Shearman core team members were counsel Josh Htet and Marie-Luise von Buchwaldt; senior associates Laura Green, Mohammad Mahmood, Rosalba Junginger, Christin Schlorf, Tom Haeseler, Nicolás Sierra and Raman Kamboh; associates Patricia Kongoasa, Lea Andersen, Abir Mishra, Dylan Gaymer, Juliana Palavra Gorgueira, Miguel Jimenez, Iman Faruki and Isabelle Cheah, and trainees Alex Edwards, Sophie Bale, Taimur Nsugbe, Ava Rose and Gabrielle Lin.
