A&O Shearman advised the initial purchasers and dealer managers in connection with the Commonwealth of The Bahamas' offering of USD1.1bn 7.700% notes due 2039, and a concurrent cash tender offer for several series of existing notes.

The Commonwealth of The Bahamas intends to use the net proceeds from the sale of the notes to fund the purchase price of the notes tendered in the tender offer, repay certain debt, and for other government refinancing activities.

The transaction builds on A&O Shearman’s recent work on sovereign capital markets matters across the region, including advising the Republic of Chile on its USD- and EUR-denominated bond offerings and the underwriters on the Republic of Uruguay’s USD-denominated bond offering and concurrent cash tender offer.

The A&O Shearman team was led by New York-based capital narkets partner Alejandro A. Gordano and included capital markets associate Hanan Al-Malssi and visiting attorney Alvaro Portillo Prono, as well as tax partner Lorenz Haselberger and tax associates Daniel Kachmar and Edgardo Martinez Gastelum.
