A&O Shearman advises Advent on merger control and FDI aspects of its successful public tender offer for u-blox
A&O Shearman has advised Advent International, L.P. (“Advent”), a leading private equity investor, on the regulatory aspects of its  public tender offer to acquire control of Swiss semiconductor company, u-blox Holding AG (“u-blox”) via ZI Zenith S.à r.l., a European indirect subsidiary of certain funds managed and/or advised by Advent.

u-blox is a leading provider of positioning and connectivity solutions for the automotive, industrial, and consumer goods markets. The acquisition of control was carried out by a successful public tender offer with more than 98% of the outstanding shares tendered based on the number of shares registered with the Commercial Register of the Canton of Zurich. The offer had a total volume of approximately USD1.3 billion.

A&O Shearman advised on merger and foreign direct investment (FDI) regulations globally and secured all necessary regulatory approvals for the transaction.
