EGH Acquisition Corp.’s USD150 million SPAC IPO with focus on power, energy transition and sustainability

A&O Shearman advised Cohen & Company Capital Markets, a division of J.V.B. Financial Group as lead book-running manager and Seaport Global Securities as joint book-runner on the initial public offering (IPO) of EGH Acquisition Corp., a special-purpose acquisition company, of 15 million units at an offering price of USD10 for one Class A ordinary share and one right to receive one-tenth of one Class A ordinary share upon the consummation of an initial business combination, resulting in gross proceeds of USD150m.

The units began trading on NASDAQ under the ticker symbol “EGHAU” on May 9, 2025.

EGH Acquisition Corp. is a blank check company formed for the purpose of effecting an amalgamation, capital stock exchange, asset acquisition, stock purchase, reorganization, or similar business combination with one or more businesses. The company intends to focus its search on identifying a prospective target business in the broad power market and energy transition or sustainability arena and is targeting industries that require reliable and cost-effective power and/or innovative decarbonization solutions to meet critical energy supply needs or emission reduction objectives. The company is led by executive chairman and chief financial officer Vincent T. Cubbage and chief executive officer Andrew B. Lipsher.
