A&O Shearman advises financial institutions on Nexi’s new dual-listed senior unsecured bond
Nexi has completed the placement of a fixed-rate, non-convertible senior unsecured bond with a nominal value of EUR750 million and with a six-year maturity (May 21, 2031), aimed at institutional investors.

The bond pays a fixed annual coupon of 3.875% and is the first issued under Nexi’s newly established Euro Medium-Term Note (EMTN) program. This is a dual-listed issue as the bond has been admitted to listing on the regulated market of the Luxembourg Stock Exchange and on the MOT of Borsa Italiana.

In the transaction, A&O Shearman advised the pool of financial institutions, BNP Paribas, BofA Securities, Crédit Agricole CIB, Intesa Sanpaolo, Mediobanca, and UniCredit as active bookrunners, and Deutsche Bank, ING Bank, MUFG Securities, and SMBC Bank as other bookrunners.

The A&O Shearman team was led by partners Alessandra Pala and Cristiano Tommasi, supported by associate Paolo Martellone, and counsel Elia Ferdinando Clarizia for tax aspects.
