Poppy has advised for over a decade on some of the most significant and innovative structured finance and securitisation transactions in the market spanning a wide range of asset classes and jurisdictions.


Poppy specialises in financing commercial real estate transactions (with a particular expertise in CMBS across a variety of sectors including logistics, retail and office) and residential mortgages (owner occupied, buy to let, equity release, bridging and development loans). She has particular expertise advising financial institutions, private equity firms and funds on debt portfolio acquisitions and forward flow/loan origination platforms in the UK and across Europe.

Poppy also advises clients on securitisation structures across the Middle East with a specific focus on establishing inaugural securitisation platforms in the GCC, including acting on the first RMBS in the Kingdom of Saudi Arabia.

Poppy has been part of multiple award-winning deal teams, has received recognition in Legal 500, and previously worked at a major US investment bank. She is a regular speaker at high-profile events in the sector and at industry conferences.

Experience

Representative matters

  • HSBC Saudi Arabia in its capacities as arranger, bookrunner, structuring advisor and sukukholders’ agent on the first residential mortgage-backed securities (RMBS) issuance in the Kingdom of Saudi Arabia by Saudi Real Estate Refinance Company (SRC).
  • The arranger and senior lender on the establishment of a receivables securitisation for a leading fintech in the Middle East. This is the largest asset-backed facility secured by a fintech company in the region to date.
  • Private equity and bank client on their bids for performing and non-performing portfolios of loans in various jurisdictions, including advising buyers of Project Flamenco (Spain), Project Galibier (Netherlands), Project Koala (UK), Project Porto (sale of Irish consumer mortgage loans) and UKAR sales (UK consumer mortgage pools).
  • The senior lender on the establishment of a warehouse facility backed by shariah compliant buy to let loans in the UK.
  • The mezzanine lender in respect of their participation in a financial programme in the Kingdome of Saudi Arabia.
  • The lender on a CRE back-leverage transaction for a portfolio of student housing in the UK.
  • USS on its inaugural sponsored securitisation of a portfolio of £411,600,000 equity release mortgage loans. This was a ground breaking transaction setting a new benchmark for equity release funding in the UK.
  • The sponsor on Sequoia Logistics 2025-1 DAC which was a 144A securitisation of last mile"" logistics and one industrial outdoor storage properties located across France, Finland, the Netherlands and Germany.
  • The sponsor on UK Logistics 2025-1 DAC which was a 144A securitisation of three senior commercial real estate loans in connection with refinancing the acquisition of three logistics portfolios of standing logistics assets and industrial outdoor storage located in the UK.
  • The sponsor on UK Logistics 2024-1 DAC which was a 144A securitisation of two senior commercial real estate loans in connection with refinancing the acquisition of two last-mile logistics portfolios located in England.
  • The arranger on Magritte CMBS NV/SA which was a 144A securitisation of a €255,757,500 senior financing of a portfolio of office buildings in Belgium and Luxembourg.
  • Investors on the CMBS restructure of FROSN-2018 DAC which was a securitisation backed by Finnish commercial real estate assets.
  • The senior lender on the establishment of Dutch forward-flow platform.
