Phil Baynes


Phil advises investment fund managers on the structuring, marketing, fundraising and operation of a wide range of private investment funds (including private equity, infrastructure, real estate and debt funds), co-investment schemes, carried interest arrangements and secondaries transactions.
He also has significant experience advising institutional investors on their alternative investment programmes.


Representative matters

Daiwa International Capital Partners on a GP-led secondary transaction and formation of their second European-focused infrastructure fund.

Mubadala Capital on the pending acquisition, together with Fortress management, of Fortress Investment Group from Softbank Group Corp.

Investcorp on the formation of a private equity fund focusing on growth opportunities in Saudi Arabia. 

Pemberton Asset Management on the formation of an open-ended ERISA credit fund.

Pro bono

Advising Social Investment Business on its fund investments and ownership stake in a social enterprise fund manager. Advising Together With Migrant Children in relation to several applications for exceptional case funding for immigration matters. Participating in pro bono legal advice clinics for the Mary Ward Legal Centre. Advising Do Nation on supplier contract issues.
