Kornelius advises on mergers and acquisitions and a broad range of general corporate matters.

His practice focuses on negotiating complex purchase agreements and guiding clients through all stages of joint venture formation—from initial term sheet and joint venture contract negotiations to ongoing governance advice, including coordination with shareholders and investors, shareholder meetings, and management decision-making. His recent matters include the energy, regulated infrastructure, and industrial sectors. He also counsels on corporate reorganizations, including the outsourcing and relocation of business units, often as part of strategic realignments or in preparation for third‑party sales.

Beyond his corporate practice, Kornelius has particular expertise in the financial sector. He has published on capital markets law, and, during his PhD, was a visiting scholar at Harvard University (Cambridge, MA). His research focuses on financial market regulation and the circumstances under which breaches of regulatory obligations give rise to liability, considering EU and German regulatory frameworks as well as U.S. securities regulation.

  • Gallagher on the acquisition of Köberich Financial Lines.
  • Sumitomo Corporation on the acquisition of the German offshore wind project Trianel Windpark Borkum II (TWB II).
  • Patrizia Infrastructure in connection with a EUR 140m transaction for EV charging stations in Germany.
  • A group of financial institutions on the acquisition of a 49.9% stake in the planned 960 MW offshore wind farm ""He Dreiht"" from EnBW Energie Baden-Württemberg AG.
  • A global pharmaceutical and healthcare company on the sale of its men’s health product Nebido™ (testosterone undecanoate) to Grünenthal for a total purchase of up to EUR 500m.
  • DigitalBridge Group together with Brookfield Infrastructure and its institutional partners on an agreement to acquire a 51% ownership stake in GD Towers.
