Jahanvi represents investment banks and corporate issuers in a broad range of capital markets transactions, SEC reporting and compliance matters.
Jahanvi has experience in both registered and unregistered securities offerings, including investment grade and high-yield debt issuances, and works with clients in a range of industries, including financial services, healthcare, mining and metals, and sovereign issuers.

Experience

Representative matters

  • Genmab A/S on its $1.5 billion senior secured notes offering and $1 billion senior unsecured notes offering to finance its acquisition of Merus N.V.
  • TD Securities and Goldman Sachs as representatives of the underwriters in connection with a USD13.1 billion secondary registered offering of shares of The Charles Schwab Corporation by The Toronto-Dominion Bank. The transaction marked the largest financial services public equity offering of the past five years and one of the largest equity offerings in the United States in a decade. Through the equity offering and a USD1.5bn repurchase by Charles Schwab of its shares from TD Bank, TD Bank sold its entire 10.1% economic stake in Charles Schwab for a total of USD14.6bn in gross proceeds.
  • The Province of Ontario and the Province of British Columbia in connection with shelf-renewal and several U.S. public bond offerings. 
  • The Bank of Montreal, Canadian Imperial Bank of Commerce and the Bank of Nova Scotia in connection with their registered debt offerings.
  • The underwriters in connection with various registered (MJDS) offerings of senior notes by Canadian Natural Resources Limited and Magna International.
  • The dealers in connection with the updates of global debt offering programs and numerous senior notes offerings as applicable by CDP Financial, Ontario Teachers’ Pension Plan and OMERS Financial Corporation. 
  • SNDL and Fairfax Financial in connection with various SEC reporting matters. 
  • Champion Iron Canada Inc. and Capstone Copper in connection with their inaugural high yield notes offering.

Pro bono

  • Participating in the Immigration Hotline Project providing information to individuals calling with a variety of immigration-related questions.
  • Completing document review of law enforcement records related to allegations of officer misconduct in partnership with the New York Civil Liberties Union (NYCLU).
