Gina advises global and U.S. clients on a variety of employment, labor, benefits, and executive compensation matters, including in the context of cross-border and domestic corporate transactions.

She has experience conducting employment-related due diligence, negotiating transaction documents, designing equity- and cash-based compensation plans, and drafting employment, separation, retention, restrictive covenant, and other employee-related agreements. She regularly advises clients on day-to-day employment matters, including hirings, terminations, reductions in force, and workplace investigations.

In addition to her work with companies, Gina has acted for individual executives and founders, advising them on the negotiation of their employment, equity, and separation agreements.

  • Randstad, N.V., a leading human resources services company headquartered in the Netherlands and operating in 39 countries, on its acquisition of Torc, LLC.
  • Zendesk, Inc. on its acquisition AI-powered quality management platform, OU Qualitista d/b/a/ Klaus, which had employees and contractors in over 15 jurisdictions throughout Europe, the U.S., Canada, and Australia.
  • BlackRock, Inc. and Grain Management, LLC on their joint acquisition of a minority interest in Phoenix Tower International for approximately USD1.4b.
