Eliza Wallace

Senior Associate

Eliza is a senior associate in the corporate team in Perth.

She practises in the areas of corporate, commercial and energy and resources law and has advised on commercial transactions, including takeovers, mergers, acquisitions, disposals and joint ventures.

Eliza also has prior experience in disputes, primarily large-scale international arbitrations and litigation proceedings relating to energy, resources, oil and gas and construction. Eliza has undertaken secondments in our offices in Hong Kong and Singapore where she worked on a broad range of matters for clients in the wider APAC region.

In 2023, Eliza undertook a client secondment at Santos Limited, one of Australia’s largest oil and gas exploration and production companies. This was a broad front-end role covering procurement (including contract negotiation and drafting), shipping, decommissioning, and advice relating to the operation of Australia’s greenhouse gas permitting regime.

Experience

Representative matters

  • A national petroleum and natural gas company on its acquisition of a strategic minority stake in a newly formed diversified global LNG company, including conducting a comprehensive due diligence program and addressing approvals required from Australia’s foreign investment regulator.
  • A confidential seller on the prospective sale of its vertically integrated global tantalum products group, including conducting and coordinating a comprehensive vendor due diligence program.
  • A national petroleum and natural gas company on its proposed acquisition of a significant stake in an independent retail fuels business.
  • Pilbara Minerals in connection with its global process to identify a partner and establish a joint venture for the downstream processing of lithium.
  • An Australian-based joint venture in LNG price review negotiations and expert determination proceedings under sale and purchase agreements for the sale of LNG into North East Asia (value c. USD500m).
  • A multinational oil and gas company on a series of international arbitrations arising from the construction of an onshore LNG plant in Australia and related offshore facilities totaling a combined value of USD5 bn, relating to delays and defects, fabrication works, ground conditions, alleged changes in specifications and rectification of contract terms.
