Alberto Claretta Assandri

Alberto has wide experience in funds and financial services regulatory advisory work.

He assists asset managers with the formation and operation of private funds, providing end-to-end guidance on fund structuring, marketing, key terms, investor negotiations and closings, as well as day-to-day legal and regulatory matters that arise throughout the life of a fund. His practice also encompasses related transactions, including co-investments, secondary sales and the establishment of separate or managed accounts.

Alberto has also extensive experience counseling private funds, asset managers and financial institutions on EU and Italian banking, financial markets and insurance regulations and transactions, as well as helping firms in the design, development and structuring of banking, investment and insurance products. His broad practice also includes advising on the regulatory aspects of M&A and restructuring transactions within the financial sector (engaging directly with the relevant supervisory authorities) and on matters such as market abuse regulations, regulatory capital requirements and securities offering rules.

Drawing on his deep knowledge of both domestic and international regulatory frameworks, Alberto enables clients to anticipate challenges, capitalize on opportunities and navigate an ever-evolving regulatory landscape with confidence.

  • F2i SGR in relation to the launch of its Luxembourg infrastructure debt fund and the necessary changes to its organisational and operational structure and assistance in the context of the necessary regulatory procedures. (previous firm experience)
  • FIEE SGR and Equita Capital SGR in relation to the establishment of their alternative private equity investment funds dedicated to the energy sector, with the EIF and CDP Real Asset as cornerstone investors. (previous firm experience)
  • Intesa Sanpaolo on its investment in Euronext NV in the context of the acquisition of the Borsa Italiana Group (including assistance on various regulatory applications triggered by the transaction in Italy, UK, France, Portugal, Belgium, Denmark, Norway and Ireland) (previous firm experience)
  • Athora on the acquisition of the whole equity stake in Amissima Vita S.p.A. (including assistance on the regulatory application process before IVASS) (previous firm experience)
