A&O Shearman supports the Shapoorji Pallonji Group on one of India's largest private credit refinancings
A&O Shearman has advised Eqyizen Investment Private Limited, part of the Shapoorji Pallonji Group (SP Group), on the SP Group’s USD2.25 billion refinancing. The transaction represents one of the largest private credit transactions completed in India to date and attracted participation from a number of leading onshore and offshore investors, underscoring the growing role of alternative capital providers in India’s financing landscape.

SP Group is a diversified Indian conglomerate with interests across construction and engineering, infrastructure, real estate, energy, textiles, and financial services. Operating in more than 40 countries, it is one of India’s longest-established business groups and holds an 18.37% stake in Tata Sons, the principal holding company of the Tata Group. This refinancing reflects the increasing sophistication of India’s private credit market and its ability to deliver large-scale, flexible capital solutions for complex transactions.

“This refinancing required a highly bespoke structure to align legal, tax, and regulatory considerations across multiple jurisdictions while meeting the commercial objectives of both the SP Group and investors. Its successful execution demonstrates the continued evolution of private credit markets and their ability to provide large-scale, flexible financing solutions for complex transactions.”

Kyungwon (Won) Lee, partner and regional co-head of U.S. capital markets and global ECM at A&O Shearman, added: “The refinancing brought together multiple funding sources and investor groups through a structure designed to meet the SP Group’s financing objectives. The transaction demonstrates the growing maturity of private credit markets and their ability to deliver capital at scale for sophisticated cross-border financings.”

The A&O Shearman team was led by partners Gautam Narasimhan, Kyungwon (Won) Lee, and Pallavi Gopinath Aney, with support from senior associate Nabil Shadab. Hedging-related and swap advice was provided by partner James Yao and associate Karen Ho, while U.S. tax and ERISA advice was provided by partner Larry Crouch and counsel Jason Rothschild

A&O Shearman continues to advise on market-defining transactions in the private credit and capital markets sectors, leveraging its global platform and deep expertise to deliver innovative solutions for complex, cross-border financings.
