Counsel

Jason advises clients on a range of complex legal, regulatory, and contractual matters related to compensation, employee benefits, employment laws and ERISA.

He routinely counsels clients on pension plan investment and compliance with ERISA's fiduciary obligations and prohibited transaction rules, and advises financial institutions, asset managers, and other retirement plan service providers with respect to the varied services and financial products (including complex structured products and derivatives) they offer to U.S. pension plans.

Jason also advises public and private clients on the design, implementation, and administration of their executive compensation plans and arrangements, including deferred compensation, equity and incentive plans, and severance and change in control agreements. Jason most recently worked as a senior ERISA and client services counsel to a multinational investment management firm, where he led and managed negotiations of billion-dollar contracts with institutional clients.

  • Forevision Holdings Limited, a subsidiary of Foresightresearch Pte. Ltd., in connection with its acquisition of a controlling stake in Block Bond Hold.
  • Blackrock and Grain Management on their joint acquisition of a minority interest in Phoenix Tower International.
  • Greif, a global leader in industrial packaging products and services, on its contemplated acquisition of IPACKCHEM Group SAS, a global leader in premium barrier and non-barrier jerrycans and small plastic containers, from an affiliate of private equity firm SK Capital Partners LP for USD538m.
  • JDE Peet’s on a strategic transaction with Caribou Coffee, a global premium coffeehouse with more than 700 coffeehouses worldwide.
  • OCI Global, a leading global producer and distributor of hydrogen products, on its sale of 100% of its equity interests in its Clean Ammonia project under construction in Beaumont, Texas, to Woodside Energy Group Ltd. for a total consideration of USD 2.35bn. 
  • OCI Global on the USD2.05bn sale of its global methanol business to Methanex Corporation.
  • RHI Magnesita on its USD430m acquisition of Resco Group, a U.S. business that produces heat-resistant materials.
  • SAP SE on the acquisition of LeanIX, a Software-as-a-Service (SaaS) provider for managing enterprise architecture and multi-cloud environments. This is one of the largest venture capital transactions in Germany.
  • WillScot Mobile Mini on its acquisition of McGrath RentCorp.
  • Cube Content Governance Global Limited (CUBE), a global leader in automated regulatory intelligence and a portfolio company of Hg, a leading investor in European and transatlantic software and services businesses, in its acquisition of the regulatory businesses of Thomson Reuters Corporation.
