A&O Shearman steers Scentre Group’s strategic re-entry into European debt capital markets

A&O Shearman steers Scentre Group’s strategic re-entry into European debt capital markets
A&O Shearman has advised Scentre Group on its successful return to the European bond markets with the pricing of EUR500 million fixed-rate notes due 2033—its first transaction in these markets since 2019.

The issuance was completed under Scentre Group’s recently updated EUR10 billion euro medium-term note (EMTN) program, which A&O Shearman also advised on.

This transaction marks a strategic milestone for Scentre Group, reflecting continued investor confidence in Australian issuers in the European market. A&O Shearman played a central role in updating the EMTN programme and guiding the Scentre team through the issuance process, drawing on deep capital markets and regulatory expertise across its global network.

Led by International debt capital markets partner Minesh Patel, the A&O Shearman team advised on both English and Australian law aspects of the transaction—the first time the firm has acted for Scentre Group under the EMTN program.

“The success of the transaction highlights Scentre Group’s strength and the continued appetite among European investors for high-quality Australian issuers."

“Scentre Group’s return to the European bond markets after six years sends another clear signal of offshore investor confidence in Australian corporate issuers.” said Minesh. “The success of the transaction highlights Scentre Group’s strength and the continued appetite among European investors for high-quality Australian issuers. It marks a timely and strategic re-engagement for Scentre Group with its European investor base, and we were pleased to support Scentre Group through every stage of the process.”

The transaction was led by partner Minesh Patel, with support from senior associate Yin Lim and lawyer Edward Ren. Mark Leemen, Marnie Fels, Ka Sen Wong, Nick Koutsoukos, and Vivienne Davis also provided key support on the transaction. The fully integrated team spanned more than ten jurisdictions, with European and London teams led by Nick Williams, Emma Danforth, and Olivia Butcher advising on UK and EU regulatory matters. Tax advice was provided by teams in Sydney and New York.
