A&O Shearman represents banks on Orazul Energy Perú’s bond offering and tender offer

A&O Shearman represented the initial purchasers and dealer managers in connection with Orazul Energy Perú S.A.’s offering of USD380 million 6.250% senior notes due 2032 and the abbreviated tender offer for any and all of its 5.625% senior notes due 2027.

Orazul Energy Perú is a Peruvian power generation company with a 377 MW generation portfolio that includes two run-of-river hydroelectric power plants and one solar power plant.

“This transaction underscores the confidence our clients place in us in connection with high-yield bond offerings” said capital markets partner Alejandro Gordano, who led the A&O Shearman team. “It also reaffirms our strong presence in Peru, as this is the sixth bond offering by a Peruvian issuer that we have accomplished this year.”

A&O Shearman is actively at work across Latin America advising clients in substantive debt capital markets transactions. The firm recently represented the initial purchasers in connection with:

  • Corporación Financiera de Desarrollo S.A.’s (COFIDE) offering of USD400m sustainable bonds.
  • Kallpa Generación S.A.’s offering of USD700m notes and concurrent abbreviated tender offer.
  • Kallpa Generación S.A.’s offering of USD500 million notes and concurrent abbreviated tender offer

The A&O Shearman team was led by capital markets partner Alejandro A. Gordano alongside associate Gonzalo Robles, and visiting attorneys Regina Odar and Delfina Meccia. Partner Lorenz Haselberger and associate Daniel Kachmar provided tax advice.
