A&O Shearman advises Sunoco on its pending acquisition of Offen Petroleum
A&O Shearman is representing Sunoco LP (NYSE: SUN) (“Sunoco”), on its USD600 million pending acquisition of Offen Petroleum, LLC (“Offen”).

Offen, headquartered in Commerce City, Colorado, is a distributor of gasoline, diesel, and other fuels and lubricants across the Midwest, Mountain West, and Southwest regions, and distributes over 2.5 billion gallons of fuel annually to over 7,000 customers. 

Sunoco is an energy infrastructure operator and fuel distribution master limited partnership operating across 33 countries and territories in North America, the Greater Caribbean, and Europe. It distributes over 15 billion gallons annually to approximately 11,000 Sunoco and partner-branded retail locations, as well as independent dealers, and commercial customers.  

The transaction is expected to close in the fourth quarter of 2026, subject to customary closing conditions and regulatory approvals.
