A&O Shearman advises on OMERS Finance Trust’s USD1 billion notes offering
A&O Shearman represented the agents in connection with a Rule 144A/Regulation S offering by OMERS Finance Trust of USD1bn aggregate principal amount of 4.000% Senior Notes due 2031 under its CAD20bn Debt Issuance Program. Notes issued under the Program are fully and unconditionally guaranteed by OMERS Administration Corporation.

OMERS invests and administers a jointly sponsored, defined benefit pension plan with over 1,000 participating employers ranging from large cities to local agencies and 665,000 active, deferred, and retired members. Its members include union and non-union employees of municipalities, school boards, local boards, transit systems, electrical utilities, emergency services, and children’s aid societies across Ontario. As of December 31, 2025, OMERS’ net assets totaled CAD145bn.
