AO Shearman advises EG Group on divestment to On The Move

A&O Shearman is advising EG Group, a leading international operator of convenience retail, foodservice, and fuel stations, on the divestment of its French operating business to Zuber Issa's EG On The Move.

Founded in 2001, EG Group is a leading independent convenience retailer with operations in eight countries, including the United States, Germany, France, Netherlands, Luxembourg, Belgium, the United Kingdom, and Australia. EG Group currently employs approximately 33,000 colleagues working in more than 4,300 sites across its markets and delivers a world-class grocery and merchandise, foodservice, and fuel retail proposition to nearly one billion customers each year.

The transaction forms part of EG Group's broader strategic exit from the French market, which commenced with the sale of EG Group's Vitry fuel depot in December 2025. EG Group has also entered into agreements to sell certain sites, primarily in the Paris metropolitan area, to property developers for alternative use. These transactions underscore EG Group's continued progress to focus on its core growth markets and strengthen its balance sheet, with net proceeds to be used to repay group debt. The transaction with EG On The Move is subject to relevant employee representative body consultations and customary regulatory conditions, with completion expected in the second quarter of 2026.
