A&O Shearman advises Eagle Point Credit Management LLC on innovative power generation infrastructure financing

A&O Shearman advised Eagle Point Credit Management LLC (“Eagle Point”) on a USD137.5 million senior secured credit facility provided to a subsidiary of Energy Vault Holdings, Inc. (“Energy Vault”). The financing supports Energy Vault’s acquisition of 275 MW of Rolls-Royce MTU reciprocating engine generation capacity under a dedicated equipment supply agreement for deployment across its hyperscale AI and data center infrastructure projects, with deliveries expected from the second half of 2027 through the first half of 2028.

“The rapid buildout of hyperscale AI infrastructure has created a defining market constraint: delivery slots for reciprocating and turbine power generation equipment are effectively sold out, and grid interconnection timelines stretch for years. Our team worked closely with Eagle Point to structure a financing that transforms future power generation capacity into a present financeable asset.”

Todd Koretzky, A&O Shearman finance partner, added: “We were proud to partner with Eagle Point and Energy Vault on this transaction to facilitate both access and speed to power at a moment when these factors are determining where and how quickly the next generation of AI infrastructure is built.”

Energy Vault Holdings, Inc. (NYSE: NRGV) is a global energy infrastructure company that develops, finances, builds, owns, and operates integrated power infrastructure for utilities, industrial customers, and the AI and data center market.
