A&O Shearman advises Bpifrance on the sale of approximately 2.9% of Elis’ share capital through an accelerated bookbuilding
A&O Shearman has advised Bpifrance on the sale, by the Lac1 fund managed by Bpifrance Investissement, of 6.9 million Elis shares, representing approximately 2.9% of the company’s share capital, for a total amount of approximately EUR160 million.

The transaction was carried out through a private placement by way of an accelerated bookbuilding process, targeting qualified investors as defined in Article 2(e) of Regulation (EU) 2017/1129, as well as international institutional investors.

This sale is part of a dynamic strategy of gradual asset rotation and portfolio value enhancement, following the strong stock market performance of Elis since the Lac1 fund’s entry into its capital.

Following the transaction, the Lac1 fund will hold approximately 2.5% of the company’s share capital.

Elis shares are listed on the regulated market of Euronext Paris.

The A&O Shearman team included partner Olivier Thébault, senior associate Jade Billère-Mellet, and associate Bénédicte Cheyrou-Lagrèze on equity capital markets aspects, partner Diana Billik and London senior associate Maggie Casteel on U.S. law aspects, as well as partner Mathieu Vignon on tax aspects.
