A&O Shearman advised the initial purchasers of USD2.75 billion notes issued by EDF
A&O Shearman has acted as U.S. and French counsel to the initial purchasers in a USD2.75bn senior notes offering by EDF, one of the world's largest electric utility companies.

The offering spanned three tranches across a 30-year maturity spectrum and comprised:

  • USD1.25bn 5.250% Fixed Rate Notes due 2036
  • USD1bn 6.125% Fixed Rate Notes due 2056
  • USD500 million 6.250% Fixed Rate Notes due 2066

This transaction builds on A&O Shearman's longstanding relationship with EDF, having advised initial purchasers on multiple prior senior and hybrid debt issuances.

Our French Debt Capital Markets team also continues to act as designated dealers' counsel on EDF's Euro Medium Term Note (EMTN) program across a range of currencies and listing venues, including Formosa bonds.

The A&O Shearman team was led by partner Diana Billik with senior associate Maggie Casteel, associate Georges Haddad on U.S. law matters and partner Julien Sébastien and senior associate Quentin Herry, with associate Bianca Nitu on French law matters.
