A&O Shearman advised the initial purchasers of USD1.9 billion notes issued by EDF S.A.
A&O Shearman has acted as U.S. and French counsel to the initial purchasers in connection with an offering by Electricité de France (EDF S.A.) of senior notes in an aggregate principal amount of USD1.9bn.

The offering comprised:

  • USD700 million 5.750% Fixed Rate Notes due 2035.
  • USD800m 6.375% Fixed Rate Notes due 2055.
  • USD400m 6.000% Fixed Rate Notes due April 22, 2064, which will be consolidated with and form a single series with the USD750m 6.000% Fixed Rate Notes due 2064 (from a precedent issuance).

A&O Shearman has advised the initial purchasers in previous senior and hybrid debt issuances by EDF.

The transaction team was led by partner Diana Billik with associates Samantha Grayman and Georges Haddad, on U.S. law matters, and partner Julien Sébastien with senior associate Quentin Herry, on French law matters.

Diana Billik said: “EDF is one of the more active French issuers on the Eurobond and Yankee market. This transaction shows the value of working across product types in the international capital markets. We have acted as New York and French counsel to the initial purchasers across a range of USD senior, USD hybrid and CAD senior bonds”.

“The A&O Shearman French debt capital markets team continues to act as designated dealers’ counsel on EDF’s Euro Medium Term Note (EMTN) program, across a range of currencies and listing venues, such as Formosa.”.
