Private equity and participation– a modern marriage of convenience

Chelsea Gunning wrote an article in the magazine ArbeidsRecht together with Anna Görgün about private equity and participation. This article discusses a number of important aspects of codetermination in private equity and evaluates whether Dutch legislation and regulations provide a sufficient basis for effective codetermination within the complex organizational structures of private equity. It discusses the Works Councils Act (“WOR”), the SER Merger Conduct Rules 2015 to protect the interests of persons employed in the company and relevant corporate law codetermination rights.
