Our Toronto office includes ten attorneys who represent Canadian issuers and US and Canadian financial institutions in both public and private equity and debt offerings, mergers and acquisitions, bank financing, US stock exchange listings and corporate governance matters.
The office, which opened in 1989, through legacy Shearman & Sterling was the first permanent presence established by a US law firm in Canada and has been involved in almost every significant development in Canadian cross-border transactions of the last 30 years, including the creation of the Canada-US Multi-jurisdictional Disclosure System (MJDS).
Our presence in, and commitment to, Canada has given us a unique knowledge of the cross-border market and the issues faced by Canadian issuers in cross-border offerings. Since 2020, our Canadian Capital Markets team has advised on over 141 transactions totaling over USD $185 billion.
