Sembcorp enters Australian market with AUD6.5 billion energy deal
A&O Shearman has advised the lenders on a AUD3.1bn club facility supporting Sembcorp Industries Ltd's AUD6.5bn acquisition of Alinta Energy Pty Limited and related companies from Chow Tai Fook Enterprises Limited—a significant energy M&A transaction for the region in 2026.

Alinta Energy is one of Australia's leading integrated energy retailers and generators. The acquisition marks the entry of Sembcorp—a Singapore-listed renewable energy and low-carbon energy player across Asia Pacific, the Middle East, and the UK—into the Australian market, reinforcing its strategic ambition to expand its global footprint and accelerate the energy transition.

The club facility comprises an acquisition tranche to fund the purchase consideration and related transaction costs, working capital facilities, and contingent instrument tranches to support Alinta's ongoing business needs.
