Victoria advises on a wide range of corporate law matters, including domestic and cross-border public and private M&A transactions across all sectors.

She specialises in advising international clients in the form of financial institutions and insurance companies, as well as private equity houses and institutional investors on the structuring of M&A transactions, PE investments, corporate reorganisations and corporate governance matters. Victoria also specialises in capital markets transactions and advises Luxembourg companies listed on local or foreign stock exchanges.

Over the last years she has advised on some of the major M&A transactions in Luxembourg, including the sale of Nordea’s private banking business to a global financial institution and the restructuring of SEB following the sale of SEB’s management company to Blackfin. She is an active member of our Luxembourg Listed Companies and Real Estate working groups and co-heads our Luxembourg FIG/Banking sector working group. Victoria regularly speaks at conferences on topics relating to financial institutions governance, M&A transaction structuring and corporate governance issues in private and listed companies.

She joined the firm in 2013.

Danske Bank on the sale of its business activities of Danske Bank International S.A. in Luxembourg to Union Bancaire Privée.

DWS Group on the carve-out of its Germany and Luxembourg-based digital investment platform (IKS) into a joint venture (MorgenFund) and the formation of a long-term strategic partnership with private equity investor BlackFin Capital Partners.

Corporacion America Airports, a Luxembourg-based company which focuses on acquiring, developing and operating airport concessions, on its initial public offering on the New York Stock Exchange.

NEPI Rockcastle, one of the largest real estate companies in Continental Europe, on its exit from Isle of Man and subsequent migration to the Netherlands.

Nordea on the sale of part of its Luxembourg-based private banking business, Nordea Bank S.A., to a global financial institution.

Warburg Pincus, a global private equity firm, on its acquisition of Pharma Intelligence, a leading provider of specialist intelligence, data, and software for clinical trials, drug development, and regulatory compliance, from Informa PLC.

A Fintech payment systems player on its cross-border restructuring.
