Tomas Bury


Tomáš specialises in M&A and corporate law matters, especially in regulated industries.

He is regularly involved in cross-border and domestic transactions, including private or competitive acquisitions, disposals, corporate reorganisations, and joint ventures. In recent years, Tomáš has advised clients on a number of prominent M&A transactions in the energy sector in Slovakia.

Tomáš has also significant experience in advising clients on venture capital transactions and on private equity/funds structuring mandates. During his six-month secondment at A&O Shearman's London office, he broadened his experience in the field of international M&A and joint ventures.

In addition to transactional work, he has extensive experience advising on real estate matters and regulatory matters in the energy sector.

Epic Games, Inc. (Epic) on the acquisition of Capturing Reality, s.r.o. (CR) from the individual founders of CR. CR is developing a state-of-the-art photogrammetry software tool - RealityCapture, currently the fastest solution on the market enabling automatic creation of virtual reality scenes, textured 3D meshes, orthographic projections, geo-referenced maps and much more from images and/or laser scans.

AEGON on its EUR155m disposal of insurance businesses in the Czech Republic and insurance and pension savings business in Slovakia to NN Group.

Asahi on the acquisition of the CEE beer business, including Pilsner Urquell, Topvar, Saris, from AB InBev after its merger with SAB Miller.

W.A.G. payment solutions , a.s. (CZ) on acquisition of a majority interest in Sygic, a.s, leading provider of mobile-app-based navigation.

Macquarie Infrastructure and Real Assets (MIRA) on the acquisition of a 30% stake in EP Infrastructure, a portfolio of infrastructure assets (gas TSO, gas DSO, underground gas storages, electricity DSO and gas and electricity suppliers and producers), from EPH.

A real estate investment trust company on sale of its logistics parks in Central Europe (Slovakia, Hungary, Poland, Czech Republic).

Patrick Hessel, founder of c2i, an innovative manufacturer of carbon components for cars and airplanes on all aspects of his gradual divestment of his stake in c2i to LG Hausys and renegotiation of the existing shareholders’ agreement.

Infracapital, the infrastructure investment arm of M&G Investments and one of the largest European infrastructure investment funds, on the acquisition of the CEE utility group GGE, an operator of a number of combined heat and power plants, district heating networks and producer and supplier of heat, electricity and gas.

ENEL on the sale of its 66% stake in Slovenské elektrárne, the largest electricity producer in Slovakia, to EPH in two phases, the first of which involves creating a temporary joint venture between ENEL and EPH.
