He has a proven track record of successfully managing both cross-border and domestic transactions, including private and competitive acquisitions, disposals, corporate reorganisations, and joint ventures. In recent years, Tomáš has advised clients on a number of high-profile M&A transactions on Slovak and CEE market, in particular in the sectors of energy and infrastructure, technology, financial institutions, industrials, and private capital clients.

Additionally, Tomáš has significant expertise in venture capital transactions as well as comprehensive knowledge of real estate transactions .

Representative matters

  • A pan-European bancassurance group on the acquisition of a 98.45% stake in 365.bank from J&T Finance Group for a consideration of EUR761 million. This strategic acquisition marked a landmark development in CEE banking market and represents significant step in strengthening the pan-European bancassurance group's presence in Slovakia and the broader CEE region. 
  • E.ON on consolidation of two major energy groups in Slovakia, namely Zapadoslovenska energetika, a.s. (ZSE), primarily the electricity supplier and distribution system operator in Western Slovakia and Východoslovenská energetika holding, a.s. (VSE), primarily the electricity supplier and distribution system operator in Eastern Slovakia. The consolidation unified the groups under a single holding company.
  • Zebra Technologies, on its acquisition of Photoneo, a leading developer and manufacturer of 3D machine vision solutions. . This transaction represents a significant strategic investment for Zebra, substantially strengthening its position in the rapidly expanding 3D segment of the machine vision market. 
  • Valeo Foods Unlimited Company, an Irish multinational producer of branded food and beverage products, a portfolio company of Bain Capital, in connection with contemplated acquisition of 100% shares in IDC Holding, a.s., the largest producer of confectionery and durable baked goods in Slovakia.
  • Marguerite, Pan-European investor in long-life infrastructure, in connection with an equity investment (significant minority) in SWAN (4ka), a leading mobile operator and fixed internet player in Slovakia.
  • Cisco Systems on the acquisition of Slovakia-based Sli.do technology company, that provides audience engagement platform that enables real-time feedback and insight before, during and after any meeting or event via dynamic polls, Q&A, quizzes, word clouds, surveys and more.
  • Epic Games, Inc. on the acquisition of Capturing Reality, s.r.o. (CR) from the individual founders of CR. CR is developing a state-of-the-art photogrammetry software tool - RealityCapture, currently the fastest solution on the market enabling automatic creation of virtual reality scenes, textured 3D meshes, orthographic projections, geo-referenced maps and much more from images and/or laser scans.
  • An integrated transport and logistics company on its acquisition of Unilabs, the leading European diagnostic services provider combining laboratory, pathology and imaging expertise for patients and caregivers.
  • Doordash on the acquisition of Finnish food-delivery company Wolt Enterprises for EUR 7 billion, which includes also all CEE subsidiaries of Wolt.
  • Asahi on the acquisition of the CEE beer business, including Pilsner Urquell, Topvar, Saris, from AB InBev after its merger with SAB Miller.
     

Pro bono

  • Member of legal and tax committee at SLOVCA (Slovak Venture Capital and Private Equity Association). The committee focuses on legislative initiatives aimed at improving the law of commercial companies and the M&A/PE/VC ecosystem.

Published Work

  • Tomáš has led preparation of the model documentation for the venture capital transactions in Slovakia under auspices of the Slovak Venture Capital Associations (SLOVCA).
