Louise specialises in structured finance and advises on a variety of debt capital markets transactions.
She has experience advising on and establishing structured finance programmes, including:

Repackaging programmes, secured note programmes and other collateralised note platforms including those with ring-fenced SPVs based in Luxembourg, Ireland, Cayman Islands and other jurisdictions and covered bond-like structures.

Structured product programmes for notes, certificates and warrants sold across EMEA, APAC and the US with a range of underlying asset classes, including credit, equities, FX and rates.

Risk retention financing, repos, securities lending, OTC derivatives and hedging transactions.

Since joining the team, she has also been involved in regulatory reform projects including large scale IBOR transition projects for different financial institutions.

Representative matters

  • Advising an American alternative investment management firm with the review and negotiation of a highly bespoke structured repurchase agreement in respect of back leverage financing of the issuance of loan notes issued by related entity of a major financial institution.
  • Advising a French investment bank in establishing its secured note programme, including negotiation of complex derivative arrangements to be entered into between the issuer and swap counterparties.
