Justin has a broad and international private M&A practice. He focuses on large and complex multi-jurisdictional transactions for private equity and major multinational groups.

This includes significant experience in complex joint ventures and carve out situations. He advises on both English and Dutch law.

Justin’s M&A work spans various sectors, including technology, transport/logistics (including related infrastructure), industrials (including chemicals) and food related commodities.

Representative matters

Prosus on the agreement to sell its global payment organisation (providing advance ecommerce payment solutions for global merchants in over 30 countries across Latin America, Central and Eastern Europe and Africa) to Rapyd.

Naspers on the disposal of the Allegro Group, then the number one eCommerce platform in Eastern Europe, to Cinven, Permira and Mid Europa.

Cargill on its acquisition of the majority of Croda’s performance technologies and industrial chemicals business (as well various other complex international deals for production based businesses, including the sale of its global flavours business in 21 countries to Kerry Group, the sale of its global cultures and enzymes business in 8 countries to DSM and the sale of its global juice and compounds business in 7 countries to WILD Flavors).

Advent on its acquisition of Caldic (a global provider of specialty ingredients and chemicals for the life sciences and industrial formulation markets) and the subsequent combination of Caldic and the Connell (owned by Wilbur-Ellis) life sciences and specialty chemicals solutions businesses.

A dedicated sustainability-focused fund of Waterland on its acquisition of Partou, the largest provider of high-quality childcare in the Netherlands.

A group of financial institutions on the establishment of, and their investment in, Arise, a financial service investor in Sub-Saharan Africa, at inception initially a presence in over 20 countries and USD660m in assets.

Walgreens on its original acquisition of a 45% stake in Alliance Boots, a leading international pharmacy-led health and beauty group, as well as the exercise of the option to acquire the remaining 55%.

Indorama on numerous acquisitions globally, including acquisitions of DTF, Glanzstoff, Schoeller, Wellman International's European recycling business and the UK and Dutch PTA/PTE businesses of Eastman.

TNT on the carve out and sale of its global logistics business to Apollo.
