Hadley-Rose advises on a wide variety of domestic and cross-border corporate transactions including private acquisitions and disposals, group reorganisations, and general corporate advisory work.

Hadley-Rose has conducted and coordinated comprehensive due diligence programs in those areas and has experience in drafting, negotiating and advising in these areas. 

Hadley-Rose has a strong interest in pro bono and community investment and is heavily involved in such initiatives.

Experience

Representative matters

  • US-based global corporate Mallinckrodt Pharmaceuticals on several of its international group reorganisations.
  • Advising a global alternative investment management firm and Athora on its GBP 5.7 billion acquisition of Pension Insurance Corporation Group to create one of Europe’s largest insured savings and retirement services businesses. 
  • Advising Mallinckrodt plc on its multijurisdictional carve-out sale of its of its Therakos medical device business for US$925 million which included a combination of intra-group asset transfers and share and asset transfers in 8 jurisdictions across the Americas, the EMEA, and APAC regions. 
  • Advising nVent Electrical Plc on its multijurisdictional carve-out sale of its Thermal Management business for USD 1.7 billion. This transaction involved complex structure of regulatory, employment, and transitional arrangements across 27 jurisdictions and comprised of a mixture of intragroup share and asset sales, as well as share and asset sales directly to the buyer. 
  • Advised a group of shareholders in relation to its potential disposal of shares in the aviation industry.
