Denisa advises clients on a broad range of equity and debt transactions in the domestic and international capital markets.

Her experience includes advising issuers, lead managers and agents on initial public offerings, secondary equity offerings and placements, block trades and bond issuances Her experience spans landmark IPOs, including advising the underwriting syndicate on the EUR3.8 billion IPO of CZECHOSLOVAK GROUP on Euronext Amsterdam—the largest defense IPO ever completed globally.

She has acted as key associate on the IPO of Doosan Škoda Power and also supported the IPO and admission of Colt CZ Group to the Prime Market of the Prague Stock Exchange. She gained valuable insights into the IPO process while seconded as a legal advisor to Eurowag during its London listing. Denisa is recognized by IFLR1000 as a Rising Star in Capital Markets: Equity.

Representative matters

  • Doosan Škoda Power a.s. on its CZK2.53 billion initial public offering (IPO) on the Prime Market of the Prague Stock Exchange, providing Czech, English and Luxembourg law advice. The IPO marks the first listing on the Prime Market of the Prague Stock Exchange since the Colt IPO in 2020. The IPO also comprised an offering of shares at a discounted price to employees of the company.
  • WOOD & Company Financial Services, a.s., acting as the sole global coordinator, settlement agent and joint bookrunner, and Erste Group Bank AG as the joint bookrunner, on the CZK2.24bn placement of newly issued shares of Colt CZ Group SE through an accelerated book-building (ABB) process targeted at selected investors.
  • A group of financial institutions as joint bookrunners and joint lead managers in respect of a new Rule 144A/Reg S offering of EUR 700 million of 8% senior guaranteed green notes issued by ENERGO-PRO a.s., a leading hydropower generator and electricity distributor headquartered in the Czech Republic.
  • Česká spořitelna, a.s. and Komerční banka, a.s., (acting as joint lead managers) on placement of a CZK1.98bn standalone note issuance of CZG – Česká zbrojovka Group SE.
  • Czech Gas Networks Investments S.à r.l (CGNI) on its first ever green issuance and placement of EUR500m green notes with investors on international capital markets.
  • Czech Gas Networks Investments S.à r.l on its issuance and placement of EUR600m and CZK6.75bn notes with investors on international capital markets.
  • W.A.G payment solutions plc (Eurowag) on its EUR200 million initial public offering (IPO) on the London Stock Exchange.
  • Colt CZ Group SE on its initial public offering (IPO) on the Prime Markets of the Prague Stock Exchange.
  • FAGRON B.V. on its public offer addressed to minority shareholders of Fagron a.s.
  • Česká zbrojovka Partners SE, Mr. Jan Drahota and Mr. Lubomír Kovařík on the sale of a portion of their shares in CZG – Česká zbrojovka Group SE through an accelerated book-building process targeted at selected investors.
