A&O Shearman is advising Liberty Global on the commercial aspects of its acquisition of Vodafone’s stake in VodafoneZiggo

A&O Shearman is advising Liberty Global Ltd (Liberty Global) on the commercial aspects of its acquisition of Vodafone Group's 50% stake in VodafoneZiggo, the leading Dutch telecommunications operator, and the transfer of regional Benelux assets into a newly formed company called Ziggo Group.

The transaction will enable Liberty Global to unlock the value of its Benelux operating businesses for shareholders, supported by plans to list Ziggo Group locally in 2027 on Euronext in Amsterdam and to spin-off the 90% held by Liberty Global to its shareholders.

As part of the transaction, Liberty Global and Vodafone Group have entered into long-term service agreements relating to VodafoneZiggo, ensuring continued operational alignment and stability throughout the transition.

“Advising Liberty Global on this significant transaction has been a privilege, which represents a strategic milestone in unlocking substantial value for its shareholders. We look forward to continuing to support Liberty Global as this transaction progresses toward completion.”

The A&O Shearman team advising on this transaction is led by London commercial partner Nigel Parker and senior associate Sophie Levett, as well as associates Laetitia Nappert-Rosales and Patricia Woodbridge. M&A advice is being provided by partners Alex Tilley and Ed Holmes and senior associate Sam Brooks.
