A&O Shearman advises on new EUR500 million senior preferred bond by Mediobanca
Banca di Credito Finanziario S.p.A. has completed the placement of a senior preferred bond for a nominal value of EUR500m and a six-year maturity. The bond has a call option after the fifth year and is intended for institutional investors.

The bond pays a fixed annual coupon of 3.125% until its reset date on August 22, 2030. From that date, if the call option is not redeemed, the coupon will be paid on a quarterly basis and will be determined based on the three-month Euribor rate plus 93 basis points.

The bond is dematerialized and centralized with Euronext Securities Milan (Monte Titoli) and documented under Mediobanca’s EUR40 billion euro medium-term notes program. The bond was admitted to listing on Euronext Dublin.

A&O Shearman advised Mediobanca and the financial institutions acting as joint lead managers with a team led by partner Cristiano Tommasi and counsels Emiliano La Sala and Sarah Capella, with support from associate Paolo Martellone and trainee Antonio Iuliano. Counsel Elia Ferdinando Clarizia provided advice on tax aspects.
